A Freezone is a geographical or virtually fenced area, which is considered outside UAE for tax purposes - but physically still exists on UAE soil. This particularly affects a 'physical goods trading business' where it will be restricted to import 'inside freezone only'. This means: Products have not crossed customs, hence are not available to general public. Hence such (freezone) companies "cannot do business in mainland" and "cannot sell to individuals". (because only 'duty paid custom cleared items are allowed to be sold to individuals).

For a service based business, the only operational restriction will be regarding the office location, which must be inside the freezone only. You will be able to do business globally, including companies in Mainland.

A Mainland Business is physically located on UAE soil with a physical office inside UAE, including all operations. It's by far the most flexible option, and also most applicable to a products trading business - which may require a retail shop or a warehouse to operate.

Timeline may vary based on the licensing authority.

Freezones: Generally a two (2) Phase Process.

Phase A - Can be done remotely: License > Immigration Card > Entry Permit > Corporate Tax Registration -- ETA Approx. 12-15 days (Unless you use a FZ with fast track licensing option such as Meydan FZ, in which case 24 hours or less).

Phase B - Must be done while You are Inside UAE: Medical Test > Emirates ID Application > Biometrics/Fingerprinting  > Emirates ID Card Issue & Delivery -- ETA Approx. 5-8 days in total.

Mainland: You must be inside UAE to process this, and the Licensing process may take upto 5-6 working days. Residency Visa process is standard, similar to Freezones (as mentioned earlier)

Business in UAE will require:

  1. Annual Renewals for License & Establishment/Immigration Card
  2. Annual Corporate Tax Returns
  3. VAT Returns Quarterly (Registration Mandatory for Companies with Over $100K in Sales - with Exception from Registration available for companies with 100% of sales/services overseas)
  4. Excise Tax Returns - applicable on specified goods sold inside UAE.
  5. Residency Visa Renewals Every 2 Years
  6. Audited Financial Statements, mandatory in some Freezones for Renewals and Compliance.

We educate our customers to manage their costs, to avoid surprises - making it easier to run their business in UAE.

It's for the same reason why different clothing or coffee brand exists. While the products may be similar, they all serve same purpose and clientele.

Similarly, each freezone in UAE caters to a specific industry.

  1. ADGM/DIFC is financials related
  2. JAFZA/DAFZA/HAMRIYA/SAIF/FUJAIRAHFZ: Next to ports so easier imports/exports
  3. DSO/DIC are focusing on IT companies.
  4. ... And so on.

Business Model for each freezone may also vary. Some are focused on selling you a business license while the others are focused on selling you a land, warehousing solutions, or full industrial ecosystem. Accordingly, the fee also varies significantly. among different free zones.

Nitty Gritties between each may vary a lot, but your choice can be simplified based on your requirement.

  1. Products Trading Businesses
    1. Most Flexibility with Retail Model and Business to Consumer (B2C): Always Mainland, as you can import your own products using your Customs Registration.
    2. Overseas, or Import/Export, or Ecommere Model: A Freezone license may work, depending on the business model. freezones are allowed Business to Business transactions (B2B) but cannot import to mainland using their own customs registration. They will either have to purchase locally from within UAE (i.e. duty paid products), OR if importing from overseas, can use Importer of Record (IOR) services from any freight forwarder or cargo companies for a fee.
  2. Service Based Businesses:
    1. Want Prestige with highest quality of service: Any of Dubai Freezones.
    2. Want cheapest option: Any freezone from Northern Emirates such as Sharjah, Ras Al Khaimah, or Fujairah.

As always, our expert team can pick the best option for you based on your business model and your requirements.
